For twice differentiable f:R→R, constant vectors ai and constant scalars yi, let l(x)=∑iyif(aiTx), and let row i of A be aiT. The chain rule gives
∇l(x)=∑iyif′(aiTx)ai,∇2l(x)=∑iyif′′(aiTx)aiaiT.

The second formula is the displayed matrix product because entry (j,k) is the same weighted sum ∑iyif′′(aiTx)aijaik. Signed diagonal factors do not ensure a positive-definite Hessian matrix. The factorization also gives an efficient matrix-free Hessian-vector product.
